Code of Ethics and Conduct (DOC-GCG-COMP-002, version 4.0, September 2026): it applies to executives, employees, agents, subsidiaries, partners and subcontractors.

Compliance documents

The Code of Ethics and the Anti-Corruption Policy may be shared externally. The HSE and ESG policies and the local content plan are provided on reasoned request to clients, partners and qualified investors.

CORPORATE GOVERNANCE

Structured governance under OHADA law

The bodies provided for in the articles of association: General Meeting, Board of Directors, Chairman & CEO and statutory auditor. The executive committee and the audit and risk committee are still to be formalised.

GOVERNANCE BODIES

General Meeting

Sovereign body: approves the accounts, elects the Board of Directors and decides on major orientations.

Board of Directors

Sets the strategy, oversees management and authorises regulated agreements. Opening to independent directors planned.

Chairman & CEO

Legally represents the Group, provides executive management and implements the strategy. The accounts are certified by a statutory auditor.

Committees to be formalised

Executive committee (coordination across subsidiaries) and audit and risk committee (internal control, risks, compliance).
